are the driving forces behind COTeL's CVTSP Program?
|
| RECENT
HISTORY OF CLEC SERVICES IN THE USA |
A major change in operations was provided
to CLEC's on December 15, 2004, courtesy of the DC Court of
appeals, and the Federal Communications Commission. This decision
by the Federal Communications Commission, which they were forced
to make by the DC Court, terminated existing UNE-P TELRIC Agreements
that were in force at that time, and required CLEC Providers
to enter into new Commercial Agreements with the Bells and Verizon's
of this world on March 11, 2005. Many people refer to this date
as the end of UNE-P. This is true with regard to the term only.
It was the birth of UNE CLEC Services, and VoIP CLEC Services,
with far lower rates to CLEC's in AT&T areas than those that
were available under the former UNE-P arrangements, and virtually
the same rates in BellSouth and Verizon areas.
Effective March 11th, 2005, Competitive Telecom Service Providers
now are able to offer the following types of services: (1) Traditional
analog telephone services via Commercial Agreements from the
ILEC's where they are available at competitive rates, using
ILEC Central Offices and ILEC Copper Lines to each subscriber;
(2) Offer VoIP/CLEC Services in areas where CLEC Services aren't
available at competitive rates, as well as to middle and upper
income subscribers who have high speed internet access; and
(3) Offer CLEC Resale Service to subscribers who are on welfare
programs. The new Commercial Agreements from AT&T/SBC, known
as the Local Wholesale Complete Agreements, are actually simplified
in several ways over the way they were offered under the former
UNE-P/TELRIC agreements, and they are offered at lower rates
to CLEC Providers, particularly in the highly profitable rural
and suburban 'zones', where UNE CLEC service now costs much
less than they did under UNE-P/TELRIC rates! The rates offered
by Verizon are exactly the same as they were under UNE-P/TELRIC
arrangements, under their "Option D" rates. BellSouth rates
are higher than they were under UNE-P/TELRIC rates, however
it is expected that these higher rates will be replaced by AT&T
rates in the first quarter of 2007, when AT&T's acquisition
of BellSouth is completed.

| What
investment is required to become CVTSP? |
There are two (2) tracks that are available
to prospective CVTSP's. They are as follows;
- CLEC Authority with COTeL's Shared Access VoIP Telephony
Services Provider (VTSP) Program - (Partial CABS for
VoIP Services & Solutions)
- CLEC Authority with COTeL's Dedicated Access VoIP Telephony
Services Provider (VTSP) Program - (Full CABS for VoIP
Services & Solutions)

TRACK
#1: CLEC Authority with COTeL's Shared Access VTSP Program -
(Partial CABS Revenue for VoIP Services & Solutions)
|

With this program, there is NO central
office equipment, or any other kind of switching equipment
to lease or purchase, to offer UNE CLEC Services coupled
with VoIP.
-
A good computer, with a high-speed Internet
connection will be required, such as DSL, Cable Modem, Wireless,
or a T-1 at your office. This can be as few as one or two
people, as all of the day-to- day operations can be outsourced
for less than it would cost to provide these services in
house.

Your first investment will be to retain
COTeL, and a Telecom Attorney. The cost and payment schedule
will be provided upon execution of our mutual
non-disclosure Agreement (MNDA) A Telecom Attorney will
charge approximately $1,000. per state, to secure your authority
to operate as a UNE CLEC. (A fee is $1,200 will secure authority
to operate in all Provinces in the Dominion of Canada, if
your company is 70% owned by Canadian citizens). COTeL will
coordinate all of the steps necessary to work with your
attorney to get your application prepared, and to negotiate
your Interconnection Agreement with AT&T, Verizon, and/or
BellSouth, in as many states as you desire to offer services,
including all 50 states! After the Interconnection Agreement(s)
are negotiated, COTeL will then complete all the forms/documents
that are required by the ILEC for you, as well as your CLEC
profile. You will also have the option of using COTeL for
all Provisioning training and Template Preparation in all
13 states served by AT&T/SBC, plus all nine states served
by BellSouth, after the final acquisition of BellSouth by
AT&T in early 2007. COTeL will also offer our Sales
and Marketing expertise, in any area, as well as our contract
Call Center to take inbound sales calls from your Clients,
close the sales, and collect the installation and first
month from new subscribers, which then gets deposited into
your bank or merchant account, prior to you receiving the
order for Provisioning. While your CLEC Authority is being
processed, you will be able to do VoIP related business
under your company name as outlined at http://www.vridgenet.com.ph.You
can begin to utilize our Shared Access VTSP offering to
provide VoIP enabled services to your customers/subscribers.

The state(s) where you desire to offer
service may require that you show financial responsibility.
Contact us for details how this can be accomplished.

The ILEC(s) will require a credit application
and a deposit, unless you have established credit with them
previously as a carrier. Contact us regarding how this deposit
or Letter of Credit can be minimized to approximately $5K
to $25K.

A budget for advertising, based on the
speed that you desire to grow, and the type of subscribers
that you wish to reach, will need to be established. Contact
us regarding details about this.

All billing will be outsourced, at a
very low cost. No printing or mailing equipment needs to
be purchased to accomplish billing. Likewise, all CABS billing
will also be outsourced at a very low rate.

After the above is accomplished, to include
the completion of Provisioning Training activities relating
to VoIP and CLEC Authority, the CVTSP will be free to start
operating as COTeL CLEC VoIP Telephony Services Provider.
They will be able to offer competitive telecom services
as a CVTSP!
- NB: With this program, you do not receive the full
revenue that is associated with CABS for VoIP Services that
you offer.
TRACK
#2: CLEC Authority with COTeL's DEDICATED Access VTSP Program
- (Full CABS Revenue for VoIP Services
& Solutions)
- With this program, you will be required to acquire a COTeL
CVTSP-92 (5000,10000,20000). The CVTSP-92 model that you
acquire is dependent upon your subscriber base. It will
enable you to provide UNE CLEC and VoIP Services. (local
UNE CLEC services coupled with International VoIP services
& solutions.
- COTeL will arrange for co-location (Rack space & required
Bandwidth) within your local service area. At your option
COTeL will assume the management and maintainance of this
equipment. This activity along with all of the day-to- day
operations that is requre to operate a profitable business
can be outsourced. CVTSP should allow four (4) -
six (6) weeks for delivery and configuration of
their CVTSP-92 within their local service area.
- In addition your investment in the CVTSP-92 and the retention
of COTeL to facilite your CLEC authority, you will also
need to retain the services of a Telecom Attorney. The cost
and payment schedule will be provided upon execution of

my customers/subscribers be able to keep their existing telephone
numbers? |
Yes! Since we have resporg authority we
have the ability to allow your customers/subscribers to keep
numbers from other telephone companies, including wireless providers.
Your customers may keep their existing phone numbers as long
as their number is within our service area. Please check our
Local Number Portability - (LNP)
Map for coverage in your area.

| Will
my customers/subscribers be able to have multiple telephone numbers
-(extra numbers)? |
Yes! They may order additional numbers
within any calling area that we serve. There are two ways to
order additional numbers. If they would like to make outbound
calls on the additional numbers or lines at the same time they
must order and pay for additional outbound lines. However, if
they require a Virtual/Remote Number to only receive inbound
calls they can order a Virtual/Remote Number. Virtual/Remote
Numbers will ring to a CPE. They are not capable of making outgoing
calls.

We have numbers available in many metropolitan areas. along
with the numbers that you will own as CVTSP for you local service

|

do I sign up my customer for the VoIP services/solutions that
I provide? |
For our Shared Access VoIP Telephony Services
Providers, we will create a customized/private labeled Account
Management System that will enable them to provide services
and solutions to their customers/subscribers. They will be able
manage and maintain most of our VoIP services offering for their
customers/subscribers online including sign-up.

does my customers/subscribers need in order to take advantage
of my VoIP services/offerings? |
- A Broadband Internet connection (72 Kbps or higher).
- Either a IP phone or a IAD is required for use with a traditional
phone. A CPE/IAD is required to hook up a traditional phone to
a broad or narrow band connection
|
| What
end-point hardware is requried? |
We will provide you with approved list
of CPEs that customers/subscribers can obtain two different
ways: (1) You can buy equipment from us at our wholesale prices
and then directly provide this equipment to your customer/subscriber
with a small markup. or (2) You can source your own CPE for
your customers/subscribers from our approved list of customer
premises equipment (CPE). Please note: Our system ( Shared
& Dedicated) has the capability to remotely configure the
end-point devices that we recomend for your customers.

| Can
a computer and an IP phone be in use at the same time?
|
Yes! In most cases, one can use a computer, surf the web, make
and receive phone calls all at the same time. However, ISP's have
different requirements. Please have your customers/subscribers
check with their ISP regarding their particular broadband service.

| Does
my customer/subscriber have to have their computer on in order
to use the service? |
No! A computer does not have to be left on to use the VoIP service.
The VoIP hardware connects directly into a broadband connection.
|
| What
area codes can I offer to my customers/subscribers?
|
We are constantly expanding our coverage
areas. ( to include access to the numbers associated with the
services areas that you plan on servicing). Please check our
Number Availability Map
for current coverage in your area.

| How
does one make a phone call? Is it different for Local, Long Distance
or International? |
Dialing is just like any other phone call.
For Domestic calls to the US, Canada and most of North America,
dial 11 digits, i.e., 1 + area code + number.
- To any number in New Southern New Jersey, you would dial 1-856-xxx-xxxx.
- To Philadelphia, you would dial 1-215-xxx-xxxx.
For International calls TO Mexico and destinations outside North
America, FROM anywhere in the world, dial 011+Country Code +
City Code+ Phone Number.
For example, to make a call FROM Philadelphia, PA:
- To England, you would dial 011-44-city code-number.

the service? |
No! Special dialing codes (such as # & 10-10) are not needed
to use this service.

| Does
the service support toll free numbers? |
Yes! An 800 and other toll free numbers
can be dialed from the service. We also provide the capability
for you and your customers/subscribers to have their own TOLL-FREE
number.

| Can
my customer/subscriber change phone numbers after the service
is operational? |
Yes! Phone numbers can be changed by contacting
Customer Service at 1-866-235-7906 or via email at voipsales@cotrantelecom.com.
A non-recurring service charge is associated with this service.

Virtual/Remote
Numbers
|
| What
is a Virtual/Remote Number? |
It is a cost-effective way of adding a
secondary line in another area code that transports or forwards
the call to a primary line. It allows the end users to have
a phone number in a city outside their local calling area to
meet the needs of their customers.
|
| Is
there a limit to the number of Virtual/Remote Numbers a subscriber
can have? |
Effectively no, but within reason, as numbers
are a scarce resource. Your customers can have as many Remote
Numbers as they need within the service area, subject to availability.
In addition, as the need arises, they can add additional Remote
Numbers to their account.
|
| Can
a customer/subscriber have a Virtual/Remote Number without having
a primary number? |
No! In order to have a Virtual/Remote Number they must have
an account with us, which includes a primary number in their primary
area code.
|
| Can
outgoing calls be made from a Virtual/Remote Number?
|
No! A Virtual/Remote Number is only able to receive incoming
calls. All outgoing calls will be routed from the primary number.
|
| If
a customer has a Virtual/Remote Number in a certain calling area,
will the calls made to that calling area be local calls? |
No! Remember all outgoing calls are routed through the primary
number and are subject to the terms of the calling plan, so wherever
the number is located is where the call will be rated.
|
| Are
minutes charged for Virtual/Remote Numbers? |
No! Virtual/Remote Numbers are only for incoming calls and there
are no charges for incoming calls.
|
| In
what areas are Virtual/Remote Numbers available? |
Please check our Number Availability
Map for current coverage. However, since new areas are
added frequently, please contact an COTeL representative for updated
service areas.

Shared
Access VTSP Customer/Subscriber Account Management
|
| What
are the components of the COTeL Account Management system? |
Our Account Management System is customized
to meet your needs. This system will allow you to directly manage
and maintain most of our service offerings that you deliver
to your customers/subscribers online. You will be able to setup
rate sheets and calling plans, activate/diactivate customers/subscribers
(add new customers, modify existing customers accounts), billing
(view retail and wholesale billing, CDRs etc), The system includes
a number of standard reports that provide you with information
that is important to the daily operation of your business.

| Can
subscribers/customers view their account information online? |
Yes! Your customers/subscribers are provided
access to the tools they need to manage their account online.
They will be able to login to your customized site/web-presence
and be able to review and manage their service needs. They will
be able to check/manage voicemail, view call detail records
in near real time, view billing and payment history in addition
to managing many of their calling features. The information
that is provided is quite detailed. The goal is to provide as
much information to the customer/subscriber, thus eliminating
many customer/support service calls.

Installation/Technical
Support
|
| What
is needed by my customers/subscribers in order to use the service? |
- A Broadband Internet connection (72 Kbps
or higher).
- Either a IP phone or a IAD is required for use with a traditional
phone. A CPE/IAD is required to hook up a traditional phone
to a broad or narrow band connection.
|
| Are
special equipment needed? |
Yes! Your customers/subscribers will need
either an IP phone or a VoIP adapter. The IP phone will replace
an existing phone whereas the VoIP adapter will allow customers/subscribers
to hook up a traditional phone to their broadband connection.
|
| Can
a home gateway, router, NAT or firewall be used with the service? |
Yes! However, the firewall needs to be
able to act as a SIP application gateway. This is not a common
function of most firewalls. An alternative is to have the IP
phone or adapter sit between the broadband connection and the
firewall. They will share the public address of the firewall.
All non-VoIP packets received from the WAN will automatically
be forwarded to the firewall.

| Is
there a difference between using a DSL or cable modem with this
service? |
No! The only requirement is the speed of the connection. The
broadband service must provide a connection speed in both directions
of at least 72 Kbps.
|
| Does
my customer/subscribers need a static IP Address to use this service? |
No! It is not necessary to have a static IP. The customer premises
equipment (CPE) will be configured to take advantage of your existing
broadband service.
|
| Can
existing telephone(s) be used? |
Existing telephones can be used with any of our approved IAD's
(Customer Premises Equipment).
|
| What
are the bandwidth requirements for this service? |
The broadband service must provide a connection speed in both
directions of at least 72 Kbps.
|
| Can
this service be used with a dial-up connection? |
Technically a dial-up connection could be used if the connection
speed is at least 72 Kbps in both directions. However, we cannot
guarantee top quality using less than a broadband connection.
|
| If
using a broadband connection with only one network connection,
does the computer have to be disconnected to use the service? |
No! The IP Phone or Adapter will plug into the broadband connection
and the computer will then be plugged into the IP Phone or Adapter.
|
| Does
the service work over satellite Internet connections? |
Yes! Satellite Internet services provided by COTeLSkyNET does
not pose a problem.
|
| Does
the service support FAX machines or modems? |
Yes! The service does support FAX machines and modems.
|
| What
happens if a customer/subscriber does not get a dial tone? |
Check to see that all that all of the connections are installed
correctly. If there is still a problem, Shared Access VTSP's can
contact our Technical Support at 1-866-235-7906 or via email at
voipsupport@cotrantelecom.com.

| What
can be done about poor audio quality when placing or receiving
calls over the network? |
Generally, poor audio quality is related
to the speed of the Internet connection. If the connection speed
is less than 72 Kbps one can expect to experience some reduction
in audio quality. If running at a speed above 72 Kbps and have
consistently poor quality, Shared Access VTSP's can contact
our Technical Support at 1-866-235-7906 or via email at voipsupport@cotrantelecom.com.

are correct, then make sure that the volume on the phone is
turned up. If they still do not have a ring on incoming calls,

| What
is a router and do my customer/subscriber need to have one? |
A router is a network device that manages
the distribution of data to and from multiple devices on that
network. Your customer/subscriber may already have a router
attached between their DSL/Cable modem and their PC or they
may need to purchase and install a DSL/Cable router on their
network. A router will allow them to use the COTeL service and
computer at the same time. Recommended routers are those that
are DSL/cable web-safe and provide NAT (Network Address Translation)
along with DHCP.

| What
ports do I need to open if I am placing a customer premises equipment
(CPE) behind a firewall? |
There is no need to open any ports if your
customer/subscriber CPE is behind a simple NAT and the it has
a private IP address. One should be able to install the device
and begin using the service. This is due to the fact that the
CPEs that we recommend are designed to provide service behind
NATs. However if you have a firewall, you must give the CPE
rights to access certain Internet ports, including 69-69 UDP,
5060-5063 UDP, and 10,000-20,000 UDP. If you plan to connect
your PC to the Internet as well, the IP address for the CPE
can either be provided by the ISP or the network router (DHCP
is enabled on the router).

| Do
I charge any additional taxes, charges or monthly fees on top
of the monthly service charge that I charge my subscribers/customers?

Taxes are based on state and Federal requirements, including,
but not limited to sales tax, state and Federal communications
excise taxes, and Federal and/or state Universal Service Fund
contributions. Only those taxes that are required by law can be
added to the monthly service charge.

can a customer/subscriber view his/her bill? |
For Shared Access VTSP, their customer/subscriber will be able
to view his or her bill and all other information relating to
their account through the customer/subscriber account management
system, that is accesible from their web-presence/website.

what format will I receive call detail record (CDR) so I can bill
my customers/subscribers? |
